First of alll, thank you for your patience ...
I decided to delete all these things and restarted a clean procedure.

1) unzip in c:/program files/emacs-23.2
2) add to PATH  c:/program files/emacs-23.2/bin
3) run emacs.exe
-> no .emacs.d in bin
-> .emacs.d in c:\
-> unsafe message 
4) with cmd.exe
cd /d c:\
ren .emacs.d .emacs.d.saved
emacs -Q
-> no .emacs.d in bin
-> .emacs.d in c:\  but no server directory !!!
-> no message
5) emacs.exe
-> no .emacs.d in bin
-> .emacs.d in c:\  with server directory !!!
-> unsafe message

Is it correct ?
