Answered my own question...
 
I had a "set -o" command in my .bashrc file that was causing the problem.

I have my environment set using the elisp specified in the FAQ.  When I start my shell, I get the following error: "readline: warning: rl_prep_terminal: cannot get terminal settings"
 
Does any one have a fix for this?   I'm using the latest cygwin and emacs 21.2.
